H2OSites.com is a member-based web site service that allows its Members to create unique business-oriented websites online in order to find and communicate with other businesses in the Water industry. The services offered by H2OSites.com ("H2OSites.com" or "we") include the H2OSites.com website (the "H2OSites.com Website"), and any other features, content, or applications offered from time to time by H2OSites.com in connection with the Website (collectively, the "H2OSites Services"). The H2Osites.com Services are hosted and all technical support is provided in the U.S.

This Terms of Use Agreement ("Agreement") sets forth the legally binding terms for your use of the H2OSites.com Services. By using the H2OSites.com Services, you agree to be bound by this Agreement, whether you are a "Visitor" (which means that you simply browse the H2OSites.com Website) or you are a "Member" (which means that you have registered with H2OSites.com). The term "User" refers to a Visitor or a Member. You are only authorized to use the H2OSites.com Services (regardless of whether your access or use is intended) if you agree to abide by all applicable laws and to this Agreement. Please read this Agreement carefully and save it. If you do not agree with it, you should leave the H2OSites.com Website and discontinue use of the H2OSites.com Services immediately. If you wish to become a Member, communicate with other Members and make use of the H2OSites.com Services, you must read this Agreement and indicate your acceptance during the Registration process.

This Agreement includes H2OSites.com's policy for acceptable use of the H2OSites.com Services and Content posted on the H2OSites.com Website, your rights, obligations and restrictions regarding your use of the H2OSites.com Services and H2OSites.com's Privacy Policy. In order to participate in certain H2OSites.com Services, you may be notified that you are required to download software or content and/or agree to additional terms and conditions. Unless otherwise provided by the additional terms and conditions applicable to the H2OSites.com Services in which you choose to participate, those additional terms are hereby incorporated into this Agreement. H2OSites.com may modify this Agreement from time to time and such modification shall be effective upon posting by H2OSites.com on the Website. You agree to be bound to any changes to this Agreement when you use the H2OSites.com Services after any such modification is posted. It is therefore important that you review this Agreement regularly to ensure you are updated as to any changes.

Please choose carefully the information you post or submit on H2OSites.com and that you provide to other Users of the Website. Your H2OSites.com account may not include the following items: any photographs or content containing nudity, or obscene, lewd, excessively violent, harassing, sexually explicit or otherwise objectionable subject matter. Despite this prohibition, information provided by other H2OSites.com Members (for instance, in their website profile) may contain inaccurate, inappropriate, offensive or sexually explicit material, products or services, and H2OSites.com assumes no responsibility or liability for this material. If you become aware of misuse of the H2OSites.com Services by any person, please contact H2OSites.com at customerservice@H2OSites.com.

H2OSites.com does not claim ownership of any materials you provide to H2OSites.com (including feedback and suggestions) or post, upload, input, provide or submit to the Web Site for review by members of the general public, or by members of any public or private group (each a “Submission”). However, by posting, uploading, inputting, providing or submitting your Submission you are granting H2OSites.com and its agents permission to use your Submission in connection with H2OSites.com’s operation of the Web Site and its other businesses, including without limitation, the right to copy, distribute, transmit, publicly display, reproduce, edit, translate and reformat your Submission, and to publish your name in connection with your Submission, all without the payment of compensation to you in respect of any such use of your Submission. You warrant and represent that you own, or otherwise control, all of the rights to your Submission, including without limitation, the rights necessary for you to post, upload, input, provide or submit your Submission.

No Right To Redistribute web site materials. You agree that you will not redistribute, copy, amend, or commercially exploit any materials found on the Web Site without H2OSites.com’s express written permission, which permission may be withheld in H2OSites.com’s sole discretion.

For your convenience, H2OSites.com may make available on the Web Site products, tools and utilities for use and/or download (the “Tools“). H2OSites.com does not make any assurances with regard to the accuracy of the results or output that derives from such use of any such Tools. The Tools are copyrighted works of H2OSites.com and/or its suppliers, and are protected by copyright law and international treaty provisions. If a Tool is accompanied by an end user license agreement, your use of that Tool is governed by the terms of such end user license agreement, and you must agree to the terms and conditions of such end user license agreement in order to install or utilize such Tool. If a Tool is not accompanied by a license agreement, H2OSites.com hereby grants to you a revocable, personal, non-transferable license to use such Tool in accordance with these Terms of Use and for no other purpose. Without limiting the foregoing, any reproduction, redistribution, reverse engineering or decompilation of the Web Site or the Tools is expressly prohibited by law, unless such action is expressly permitted by the accompanying license agreement, and may result in severe civil and criminal penalties. You agree not to redistribute the Tools, nor to export or re-export the Tools, directly or indirectly, to any countries that are subject to USA export restrictions. You may not use the Tools to defame, abuse, harass, threaten or otherwise violate the legal rights of others. You may not use the Tools in association with the sale of any service or product which is discriminatory, obscene, defamatory, indecent or unlawful, or which in the reasonable opinion of H2OSites.com, would reflect negatively upon the reputation of H2OSites.com, the Web Site or the Tools.

H2OSites.com reserves the right, in its sole discretion, to reject, refuse to post or remove any posting (including private messages) by you, or to restrict, suspend, or terminate your access to all or any part of the H2OSites.com Services at any time, for any or no reason, with or without prior notice, and without liability.

1. Eligibility. Use of and Membership in the H2OSites.com Services is void where prohibited. By using the H2OSites.com Services, you represent and warrant that (a) all registration information you submit is truthful and accurate; (b) you will maintain the accuracy of such information; (c) you are 18 years of age or older; and (d) your use of the H2OSites.com Services does not violate any applicable law or regulation. Your account may be deleted and your Membership may be terminated without warning, if we believe that you are under 18 years of age.
2. Term. This Agreement shall remain in full force and effect while you use the H2OSites.com Services or are a Member. You may terminate your Membership at any time, for any reason, by contacting us a customersupport@H2OSites.com. Billing recurs monthly (30 day period) based on the date that you purchased your membership. There are no refunds. Once your account is cancelled, you will have no further access to your H2OSites.com account, password, or content that you may have created using H2OSites.com's tools. There are no files, images, or content that will be available to you if you decide to cancel your account. All contents that reside on the H2OSites.com's servers or networks then become the sole property of H2OSites.com. H2OSites.com may terminate your Membership at any time, without warning. Even after Membership is terminated, this Agreement will remain in effect.
3. Fees. You acknowledge that H2OSites.com reserves the right to charge for the H2OSites.com Services and to change its fees from time to time in its discretion. If H2OSites.com terminates your Membership because you have breached the Agreement, or you decide to cancel your account, you shall not be entitled to the refund of any unused portion of subscription fees.
4. Password. When you sign up to become a Member, you will also be asked to choose a password. You are entirely responsible for maintaining the confidentiality of your password. You agree not to use the account, username, or password of another Member at any time or to disclose your password to any third party. You agree to notify H2OSites.com immediately if you suspect any unauthorized use of your account or access to your password. You are solely responsible for any and all use of your account.
5. You represent and warrant that: (i) you own the Content posted by you on or through the H2OSites.com Services or otherwise have the right to grant the license set forth in this section, and (ii) the posting of your Content on or through the H2OSites.com Services does not violate the privacy rights, publicity rights, copyrights, contract rights or any other rights of any person. You agree to pay for all royalties, fees, and any other monies owing any person by reason of any Content posted by you to or through the H2OSites.com Services.
6. The H2OSites.com Services contain Content of H2OSites.com ("H2OSites.com Content"). H2OSites.com Content is protected by copyright, trademark, patent, trade secret and other laws, and H2OSites.com owns and retains all rights in the H2OSites.com Content and the H2OSites.com Services. H2OSites.com hereby grants you a limited, revocable, nonsublicensable license to reproduce and display the H2OSites.com Content (excluding any software code) solely for your personal use in connection with viewing the H2OSites.com Website and using the H2OSites.com Services.

LIABILITY DISCLAIMER. THE TOOLS, WEB SITE AND ANY CONTENT OR SOFTWARE CONTAINED THEREIN OR ACCESSIBLE THEREFROM, ARE PROVIDED “AS IS”. EXCEPT TO THE EXTENT REQUIRED BY APPLICABLE LAW, H2OSites.com MAKES NO WARRANTIES OR REPRESENTATIONS OF ANY KIND REGARDING: (A) THE UP-TO-DATENESS, ACCURACY, TIMELINESS OR COMPLETENESS OF ANY INFORMATION CONTAINED WITHIN OR AVAILABLE THROUGH THE USE OF THE TOOLS OR WEB SITE, INCLUDING BUT NOT LIMITED TO THE RESULTS OBTAINED FROM THE USE OF THE TOOLS OR WEB SITE; AND (B) ANY INFORMATION PROVIDED BY THIRD PARTIES AND ACCESSIBLE ON OR THROUGH THE USE OF THE TOOLS OR WEB SITE. EXCEPT TO THE EXTENT REQUIRED BY APPLICABLE LAW, H2OSites.com: (A) DISCLAIMS ANY EXPRESS OR IMPLIED WARRANTIES AND CONDITIONS, INCLUDING WITHOUT LIMITATION, ANY WARRANTIES AS TO NON-INFRINGEMENT, MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE; AND (B) DOES NOT WARRANT THAT THE TOOLS OR WEB SITE OR ANY CONTENT THEREIN WILL BE UNINTERRUPTED OR ERROR FREE, OR THAT DEFECTS WILL BE CORRECTED.

THE USE OF THE TOOLS AND WEB SITE IS AT YOUR OWN RISK, AND YOU ASSUME FULL RESPONSIBILITY AND RISK OF LOSS YOU MAY SUFFER AS A RESULT OF USING, OR ACCESSING THE TOOLS OR WEB SITE, OR DOWNLOADING ANY CONTENT THEREON. EXCEPT TO THE EXTENT THAT LIABILITY UNDER ANY APPLICABLE LAW OR REGULATION CANNOT BE EXCLUDED: (A) H2OSites.com IS NOT LIABLE FOR LOSS OR DAMAGE OF ANY KIND WHATSOEVER ARISING AS A RESULT OF INFORMATION PUBLISHED ON OR FURNISHED THROUGH THE TOOLS OR WEB SITE, OR ANY ERRORS OR OMISSIONS OF THE TOOLS OR WEB SITE; (B) H2OSites.com SHALL HAVE NO LIABILITY ARISING FROM ORDERS OR ERRORS BASED ON INFORMATION PUBLISHED ON OR FURNISHED THROUGH THE TOOLS OR WEB SITE; AND (C) UNDER NO CIRCUMSTANCES SHALL H2OSites.com OR ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, VENDORS, SUPPLIERS OR DISTRIBUTORS BE LIABLE UNDER THIS AGREEMENT TO YOU OR ANY THIRD PARTY FOR ANY INDIRECT, SPECIAL, INCIDENTAL, PUNITIVE OR CONSEQUENTIAL LOSS OR DAMAGES OR ANY OTHER SIMILAR DAMAGES UNDER ANY THEORY OF LIABILITY ( WHETHER IN CONTRACT, TORT, STRICT LIABILITY OR ANY OTHER THEORY), THAT ARE DIRECTLY OR INDIRECTLY ATTRIBUTABLE TO THE USE OF, OR THE INABILITY TO USE, THE TOOLS, WEB SITE, OR ANY CONTENT CONTAINED THEREON, EVEN IF H2OSites.com HAS BEEN INFORMED OF THE POSSIBILITY THEREOF. IF YOU ARE DISSATISFIED WITH ANY TOOLS, OR ANY PORTION OF THE WEB SITE, OR WITH ANY OF THESE TERMS OF USE, YOUR SOLE AND EXCLUSIVE REMEDY IS TO DISCONTINUE USE OF THE TOOLS AND WEB SITE.
